Author / Publisher Agreement
Agreement made on _______________ (date), between Ron Tranmer Poetry, referred to
as author, and ______________________________________________________________
of _________________________________________________ as referred to as publisher .
SECTION ONE
SALE OF RIGHT TO PUBLISH
Author grants publisher the right to publish and use the author’s writing(s) within their product lines. The material (s) for which the publisher is granted to use is (are) provided in schedule A. This agreement shall be in effect for the period of _____ years from the date of this signed agreement. Any future writings can be added to the contract, by both parties signing and dating each additional verse.
SECTION TWO
RELEASE OF COPYRIGHT TO PUBLISHER
The writings that are the subject matter of this agreement, and all the author’s literary property interest in them, shall belong exclusively to the author at all times; when a portion of the text is used, credit will also be given to the author at all times. If the work used is in its entirety, credit will be given to author.
SECTION THREE
AUTHOR’S WARRANTY OF ORIGANALITY
Author warrants and represents hat the writings which are the subject matter of this agreement:
1. Are original with the author in all respects; no part of them is taken, or based on any other writings or literary work; and
2. Author, Ronald J Tranmer, gives permission to ____________________________
(publisher) to use the listed poetry (see schedule “A”) within their product lines, for
the _______ years of this agreement; and
3. No part of the writings infringe the copyright or right of any other person,; and
4. The work contains no libelous or other unlawful matter.
SECTION FOUR
PAYMENT TO AUTHOR
Publisher shall pay ______ %, or $_________ for all agreed rights to use the writing(s) listed on Addendum “A”, within their product line for the ____ year period afore mentioned in this agreement.
SECTION FIVE
ATTORNEY FEES
In any action to enforce any of the provisions of this agreement, the party seeking to enforce this agreement shall be entitled to recover the costs and expenses of any such litigation, including reasonable attorney’s fees, in addition to all the rights and remedies at law.
SECTION SIX
MERGER CLAUSE
This agreement contains the entire understanding of the parties. It may not be changed orally, but only by an agreement that is in writing and signed by the party against whom enforcement if any change, modification, extension or discharge is sought.
SECTION SEVEN
CHOICE OF LAW
This agreement shall be construed according to the laws of the state of Utah.
